SDKH LLC

These Terms of Service form a legally binding agreement between SDKH LLC, a Mississippi limited liability company, and any individual or entity that accesses or uses services offered through SDKH LLC or any of its operating brands. The brands operating under SDKH LLC include Datamuri, Biomuri, Apex Mind Pro, and PPC for SEO. By accessing or using any service operated by SDKH LLC, you agree to be bound by these terms in full.

1. About SDKH LLC

SDKH LLC is a Mississippi limited liability company with registered offices in Jackson, Mississippi and operating offices in Papillion, Nebraska. SDKH LLC functions as a parent organization managing a portfolio of specialized brands that deliver data analytics, marketing intelligence, health optimization, and digital advertising services.

References to SDKH, the Company, we, us, or our throughout these Terms refer to SDKH LLC and include all brands and products operating under its umbrella.

2. Definitions

Services means any product, platform, tool, report, consultation, or deliverable offered by SDKH LLC or any of its brands to a Client or User.

Client means any business or organization that has entered into a paid agreement with SDKH LLC for the delivery of Services.

User means any individual who accesses or uses a platform or product operated by SDKH LLC, whether or not a formal contract is in place.

Brands refers collectively to Datamuri, Biomuri, Apex Mind Pro, and PPC for SEO, all of which operate under SDKH LLC as the sole parent entity.

Client Data means any data, content, or materials that a Client provides to SDKH LLC, or that SDKH LLC collects on behalf of a Client, through contracted Services.

3. Services by Brand

Datamuri

Datamuri provides website visitor identification and first party data activation. These services include visitor identity resolution, behavioral data enrichment, and audience distribution tools delivered under the Visimuri and Sendmuri product lines. Datamuri operates as a data processor on behalf of Clients and processes personal information solely according to documented Client instructions and these Terms.

Biomuri

Biomuri provides biometric intelligence and data analytics, including the integration of wearable device data, laboratory biomarker analysis, and genomic data to generate personalized health insights. Biomuri products are designed to provide data only. Nothing delivered through Biomuri constitutes medical advice, diagnosis, or treatment.

Apex Mind Pro

Apex Mind Pro provides website visitor identification and first party data activation program. These include visitor identity resolution, behavioral data enrichment, and audience distribution tools delivered under the Apex Visitor and Apex Send product lines. Apex Mind Pro operates as a data processor on behalf of Clients and processes personal information solely according to documented Client instructions and these Terms.

PPC for SEO

PPC for SEO provides training and software services in paid media and search engine optimization to businesses seeking to grow organic and paid search performance. Services include training and software around keyword research, campaign management, analytics reporting, and integrated search strategy.

4. Subscriptions and Billing

Certain SDKH LLC services, including platform access through Datamuri and Biomuri, are offered on a subscription basis with recurring billing. By enrolling in a subscription, you authorize SDKH LLC to charge your designated payment method at the frequency and rate specified at the time of purchase. All subscription fees are charged in advance of the applicable service period.

Fees are non-refundable except where explicitly stated in a separate service agreement or where required by applicable law. SDKH LLC reserves the right to modify subscription pricing with at least 30 days written notice to active subscribers. Continued use of the service following a pricing change constitutes acceptance of the updated rate.

Accounts with unpaid balances more than 10 days past due may be suspended without prior notice. SDKH LLC is not liable for any loss, interruption, or damage resulting from a suspension due to non-payment.

5. Agency and Retainer Services

PPC for SEO and training and software services delivered through other SDKH LLC brands are governed by individual service agreements or statements of work executed between SDKH LLC and the Client. In the absence of a separate written agreement, these Terms govern the engagement in full. Retainer fees are billed monthly and are non-refundable once the applicable service period has commenced.

Client acknowledges that paid media management services involve expenditure of Client-owned advertising budgets on third party platforms including Google Ads and Meta Ads. SDKH LLC does not guarantee specific results from advertising spend and is not responsible for policy changes, algorithm updates, or platform-level decisions made by third party advertising networks outside SDKH LLC’s control.

6. Client Responsibilities

Clients are solely responsible for ensuring that their use of SDKH LLC services complies with all applicable laws and regulations, including privacy laws, consumer protection statutes, and data protection frameworks relevant to their jurisdiction and industry.

Clients providing data to SDKH LLC for processing represent and warrant that they have obtained all legally required consents and have provided all legally required notices to the individuals whose data is submitted for processing. Clients are responsible for maintaining the confidentiality of account credentials associated with any SDKH LLC platform and must notify SDKH LLC immediately upon discovering any unauthorized access to or use of their account.

7. Data Processing

Where SDKH LLC acts as a data processor on behalf of a Client, it processes personal information only for the purpose of delivering contracted services and only on documented Client instructions. SDKH LLC does not sell personal information, maintain centralized consumer profiles for resale, or share Client Data with other clients or third parties outside the scope of contracted service delivery.

SDKH LLC implements and maintains reasonable administrative, technical, and physical safeguards designed to protect Client Data from unauthorized access, disclosure, alteration, or destruction. Clients are responsible for understanding the data practices of any third party platforms they connect to SDKH LLC services.

Health and biometric data processed through Biomuri and Apex Mind Pro is handled with heightened care consistent with its sensitive nature. SDKH LLC does not share individual health or genomic data without explicit User or Client authorization, except as required by applicable law.

8. Intellectual Property

All platforms, software, tools, content, methodologies, and documentation created or owned by SDKH LLC and its brands are the exclusive intellectual property of SDKH LLC. Nothing in these Terms grants any Client or User a license to reproduce, reverse engineer, resell, or create derivative works from SDKH LLC intellectual property without express prior written consent.

Client Data remains the property of the Client. By submitting Client Data to SDKH LLC, the Client grants SDKH LLC a limited, non-exclusive license to process that data solely for the purpose of delivering the contracted services.

9. Acceptable Use

Clients and Users may not use SDKH LLC services to engage in any activity that is unlawful, deceptive, or harmful to individuals or other businesses. Prohibited uses include unauthorized data scraping, introduction of malicious code, circumvention of platform access controls, use of services to facilitate spam or unsolicited communications in violation of applicable law, and any use that infringes on the intellectual property or other rights of third parties.

SDKH LLC reserves the right to suspend or terminate access to any service without prior notice if it determines, in its sole discretion, that a Client or User is engaged in prohibited activity.

10. Disclaimer of Warranties

SDKH LLC provides all services on an as-is and as-available basis. To the fullest extent permitted by applicable law, SDKH LLC makes no warranties, express or implied, regarding the accuracy, completeness, reliability, or fitness for a particular purpose of any service or output. Health and performance insights delivered through Biomuri and Apex Mind Pro are informational in nature and do not constitute medical advice. Users should consult licensed medical professionals before making health-related decisions based on any content delivered through SDKH LLC services.

11. Limitation of Liability

To the fullest extent permitted by applicable law, SDKH LLC’s total liability to any Client or User for any claim arising from or related to these Terms or any services provided shall not exceed the total fees paid by that Client or User to SDKH LLC in the three months immediately preceding the claim. SDKH LLC shall not be liable for any indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption, regardless of the cause of action or the form of the claim.

12. Indemnification

Client agrees to indemnify, defend, and hold harmless SDKH LLC and its officers, members, employees, contractors, and brand affiliates from any claim, loss, damage, liability, or expense, including reasonable legal fees, arising from the Client’s use of services, breach of these Terms, violation of applicable law, or infringement of any third party rights.

13. Term and Termination

These Terms remain in effect for the duration of any active service relationship between SDKH LLC and the Client or User. Either party may terminate a service relationship with written notice as specified in the applicable service agreement. In the absence of a separate agreement, either party may terminate with 30 days written notice. SDKH LLC may terminate immediately and without notice for material breach, non-payment, or prohibited use. The sections covering intellectual property, limitation of liability, indemnification, and governing law survive termination of any service relationship.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Mississippi without regard to conflict of law provisions. Any dispute arising from or related to these Terms or any SDKH LLC services shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in Jackson, Mississippi. Each party waives the right to participate in any class action or class-wide arbitration proceeding. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information.

15. Modifications to These Terms

SDKH LLC reserves the right to update or modify these Terms at any time. Changes will be posted to the SDKH LLC website with an updated effective date. Continued use of any SDKH LLC service following a posted modification constitutes acceptance of the revised Terms. Clients under active service agreements will receive written notice of material changes at least 30 days before they take effect.
